How bonus issues work
Upcoming bonus shares are free extra shares a listed company gives its existing shareholders in a fixed ratio, such as 1 for 4. This page lists bonus issues with a record date still ahead, companies whose boards are considering one, and the last three months of issues.
What a bonus issue is
A bonus issue turns a company's reserves into new shares, handed to shareholders without payment. A 1 for 4 ratio gives one new share for every four held. The company's value does not change, so the price falls in proportion on the ex-date. Free reserves, the securities premium account or the capital redemption reserve can be used; revaluation reserves cannot.
Record date and ex-date
The record date is the day the company reads its shareholder register to see who gets the shares. Trades settle one working day after they are made, so on this page the ex-date is the record date itself. A buyer must buy by the trading day before the ex-date. Upcoming issues are sorted by the soonest ex-date.
When bonus shares arrive
For bonus issues announced from 1 Oct 2024, SEBI counts from the record date. The shares are allotted the next working day and can be traded from the second working day after the record date, under the existing ISIN. Bonus shares get dividends whose record date falls after their allotment.
Rules a company must meet
SEBI requires the articles of association to allow a bonus issue. The company must have no default on debt securities or fixed deposits, and partly paid shares must be fully paid first. An announced bonus issue cannot be withdrawn, and it must be completed within 15 days of the board's approval, or 2 months where shareholders must also approve.
Board meeting list
A board that meets on a bonus issue has not yet decided on one. Those companies are listed separately, for the meeting and three months after, and move to the upcoming list once a record date is announced. Prices on charts and returns are adjusted for bonus issues, so the ex-date fall is not shown as a loss.
A bonus issue gives shareholders new shares for free, in proportion to what they hold, paid for out of the company's reserves. The list above has every bonus issue a company listed on NSE or BSE has announced with a record date still ahead, and the board meetings called to consider one before that date is set. A bonus issue the board approves must be done within two months at the most, and a company moves from the meetings to the upcoming list when it announces the record date. Each year's page lists every bonus issue that went ex in that year, back to 2007.
What is a bonus issue?
A bonus issue gives a company's shareholders new shares for free, in proportion to the shares they already hold. The company pays for them out of its reserves, the profits it has kept over the years, by turning part of them into share capital. No money changes hands, and each shareholder owns the same part of the company as before.
What does a bonus ratio like 1:1 or 2:1 mean?
The first number is the new shares given for the second number of shares held. A 1:1 bonus gives one new share for every share held, so 100 shares become 200; 2:1 gives two for every one, so 100 become 300; 1:2 gives one for every two, so 100 become 150. This page writes the ratio in words: 1 for 1, 2 for 1, 1 for 2.
What are the record date and the ex-date of a bonus issue?
The record date is the day the company reads its register of shareholders: whoever holds the shares at the end of that day takes part in the bonus issue. Shares bought on the exchange are settled the trading day after the trade, so the ex-date, the first day a buyer no longer takes part, falls on the record date itself. To take part, buy the shares no later than the trading day before the ex-date.
When are bonus shares credited, and when can they be sold?
For a bonus issue announced from 1 October 2024, the company allots the new shares the working day after the record date, and they can be traded from the second working day after it. They are credited to the demat account that held the shares on the record date.
Is a dividend paid on bonus shares?
Yes. Bonus shares are the same class of share as those already held, so they receive every dividend whose record date falls after their allotment.
Does a bonus issue increase the value of my shares?
No. The company is worth the same spread over more shares, so the price falls in proportion on the ex-date: after a 1:1 bonus a share that closed at ₹1,000 opens near ₹500, and 100 shares become 200 worth about the same. Price charts and returns on this site adjust every earlier price for each bonus issue, so the fall on the ex-date is not read as a loss.
What is the difference between a bonus issue and a stock split?
Both give shareholders more shares at a lower price, with the holding worth the same. A bonus issue turns reserves into share capital and keeps each share's face value; a split divides each share into several of a smaller face value and leaves the share capital as it was. A 1:1 bonus and a split from ₹10 to ₹5 both double the shares held.
How long after the board approves a bonus issue are the shares given?
A company must complete a bonus issue within 15 days of its board's approval, or within two months of the board meeting where its shareholders must also approve the issue. Once announced, a bonus issue cannot be withdrawn.
