An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

She was appointed as an Independent Director for one year from 5 September 2025. The board proposes to reappoint her as an Independent Director for a period of one year from 5 September 2026. The proposed re-appointment of the Independent Director for a second consecutive term of only one year lacks adequate justification. Such a short tenure may limit the Director s ability to contribute effectively and raises concerns regarding the spirit of board independence and long-term oversight. - Aditya Birla Sun Life Mutual Fund, Axis Mutual Fund, DSP Mutual Fund, Jio BlackRock Mutual Fund, NJ Mutual Fund, SBI Mutual Fund, Unifi Mutual Fund, UTI Mutual FundInox Green Energy Services Limited (IGESL) is a listed subsidiary of Inox Wind Limited (IWL). Inox Renewable Solutions Limited (IRSL) is a 88.4% subsidiary of IWL. Inox Clean Energy Limited is a group company owned by the promoters. Devansh Jain is promoter and Whole-time Director. The proposed RPTs are with (i) IGESL and/or its subsidiaries for purchase / sale of goods or services, giving and receiving ICDs, reimbursement of expenses and other transactions aggregating Rs. 17.5 bn; (ii) IRSL and/or its subsidiaries for purchase / sale of goods or services, giving and receiving ICDs, providing guarantees or securities, reimbursement of expenses and other transactions aggregating Rs. 44.0 bn (iii) ICEL and/or its subsidiaries for availing inter-corporate deposits; and (iv) Devansh Jain for availing inter-corporate deposits. The company has clubbed approvals for multiple entities into one resolution, rather than seeking shareholder approval entity-wise. Further, the FY26 AGM notice of IGESL discloses a transaction limit of Rs. 15.0 bn for the corresponding related party transactions, compared with the limits proposed by IWL. The company should clarify the discrepancy in the transaction limits sought by the two entities. We note that the company is taking approval for providing ICDs and / or corporate guarantees to subsidiaries of IGESL and IRSL. As on 31 March 2026, IGESL has two subsidiaries with 51% shareholding. It is unclear whether financial support to such entities will be in the ratio of shareholding. We also raise concerns that the company has not provided details of the ICDs which it proposes to take from ICEL and promoter director, including the tenure, borrowing rate etc. Given these concerns, we do not support the resolution.

Further, the Company has entered into sale/purchase of goods/ services in the first quarter of the current FY, however, approval for shareholders is being sought from conclusion of the ensuing AGM.
- Baroda BNP Paribas Mutual FundWe do not support the proposed related party transactions as the resolution combines multiple counterparties and are seeking relatively high limits, with limited disclosures on select transactions. Accordingly, we do not support the resolution.

The proposed resolution combines multiple related party transactions into a single approval, limiting shareholders ability to evaluate each transaction independently. More importantly, there is insufficient clarity on whether past and proposed transactions with related parties have been appropriately aggregated and approved in accordance with SEBI Listing Regulations. The lack of transparent disclosures on the approval status and aggregation of transactions raises governance and compliance concerns. Hence, we do not favour the resolution.

- Taurus Mutual FundInox Green Energy Services Limited (IGESL) is a listed subsidiary of Inox Wind Limited (IWL).

- Approval of material related party transactions
Against Angel One Mutual Fund, Bajaj Finserv Mutual Fund, Baroda BNP Paribas Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Invesco Mutual Fund, Kotak Mahindra Mutual Fund, Navi Mutual Fund, Old Bridge Mutual Fund, PPFAS Mutual Fund, Zerodha Mutual Fund
- Angel One Mutual Fund, PPFAS Mutual FundApproval sought for multiple year; however, the proposal lacks critical details.
- Bajaj Finserv Mutual FundThe company is seeking shareholders' approval for material related party transactions with Inox Clean Energy Limited and/or any of its subsidiaries and Inox Green Energy Services Limited. The proposed transactions with Inox Clean Energy Limited and/or its subsidiaries include the sale and supply of wind turbine generators together with ancillary and incidental equipment, parts and components, with an aggregate transaction value of up to ₹3,500 crore. The approval is proposed to remain valid from the conclusion of the EGM until 31 March 2029. The notice states that the transactions are pursuant to a framework arrangement for the supply of wind turbine generators and are intended to be undertaken over multiple financial years. However, the proposal does not provide adequate transaction-wise and related party wise bifurcation of the consideration amount. Additionally, the approval extends not only to Inox Clean Energy Limited but also to any existing or future subsidiaries, without specifically identifying the entities that may undertake the transactions. The proposal also includes ancillary and incidental equipment, parts and components without specifying the proportion of such transactions within the overall approval limit. These disclosures are important for shareholders to assess the precise scope and extent of the transactions. The proposed approval effectively seeks a broad authorisation covering multiple entities and multiple categories of transactions over an extended period of approximately two and a half years. While the company has disclosed that the transactions will be undertaken on arm’s length terms and in the ordinary course of business, the absence of specific details regarding individual counterparties, transaction-level allocations and consideration limits reduces transparency. For transactions structured in this manner, shareholders would ordinarily benefit from greater clarity regarding the subsidiaries intended to be covered, the nature and extent of ancillary transactions and the allocation of the overall consideration among the related parties involved. The open ended nature of the approval limits the ability of shareholders to independently evaluate the commercial implications of the proposal throughout its validity period. The proposal also combines approval for transactions with Inox Clean Energy Limited and/or its subsidiaries together with separate related party transactions involving Inox Green Energy Services Limited, where the latter primarily relates to guarantees, securities, indemnities, comfort letters and other forms of credit enhancement support up to ₹500 crore. While no significant concerns are evident from the proposed transactions with Inox Green Energy Services Limited on a standalone basis, shareholders are being asked to approve both sets of transactions through a single resolution. As a result, concerns relating to the disclosure framework and structure of the approval for the transactions involving Inox Clean Energy Limited extend to the combined proposal as a whole. Given the lack of adequate specificity regarding the related parties covered under the approval, the absence of transaction wise and party wise consideration details, the inclusion of unidentified present and future subsidiaries and the extended duration of approval sought without providing complete supporting disclosures, the proposal does not provide shareholders with sufficient information to make a fully informed assessment of the scope and implications of the related party transactions. Therefore, we are voting AGAINST the resolution.
- Baroda BNP Paribas Mutual FundWe do not support the proposed related party transactions with Inox Clean Energy Limited and Inox Green Energy limited because of omnibus approval request for a period of more than a year. Regulations envisage that an omnibus approval cannot be valid for more than 1 year. In this case, the RPTs are proposed for a period of approx. 2.5 years. Accordingly, we do not support the resolution.
- Edelweiss Mutual Fund, Groww Mutual Fund, Invesco Mutual Fund, Navi Mutual Fund, Old Bridge Mutual Fund, Zerodha Mutual FundThe Company has proposed a clubbed approval for RPTs with Inox Clean Energy Ltd and and/ or any of its subsidiaries and Inox Green Energy Services Ltd. With regard to RPTs with Inox Clean Energy Ltd and and/ or any of its subsidiaries, it is noted that SEBI envisages an omnibus approval when a transaction cannot be supported with complete details and such an omnibus approval cannot be valid for a period of more than one year. In the present case, the proposal lacks crucial details and is proposed for a period of approx. 2.5 years. In order for the proposal to be compliant, specific disclosure is required regarding a percentage cap / limit on the potential quantum of ancillary and related transactions as against the total RPT value; specific name of subsidiaries to be covered under the approval and the same should not be open-ended, a break-up of the consideration both transaction wise and related party wise. Further, no major concerns are identified in RPTs proposed with Inox Green Energy Services Ltd; however, the approval is clubbed for both the RPTs, hence, the RPTs with Inox Green is not being supported as well.
- Kotak Mahindra Mutual FundThe Company is seeking shareholders approval for Material RPTs with Inox Clean Energy Limited and/ or any of its subsidiaries and Inox Green Energy Services Limited. ICEL is a promoter owned company. ICEL, through its subsidiaries including Inox Neo Energies Limited (INEL), is engaged in the development, ownership and operation of renewable energy projects across wind, solar and hybrid technologies. ICEL and its subsidiaries propose to develop renewable energy projects and need to procure wind turbine generators (WTGs) and related equipment from IWL. IGESL, a listed subsidiary of Inox Wind Limited, provides operation and maintenance (O&M) and common infrastructure facility services for wind turbine generators (WTGs) manufactured and supplied by IWL. The company is seeking approval for (i) transactions with ICEL and its subsidiaries for sale and supply of 500 MW of WTGs together with ancillary and incidental equipment, parts and components upto Rs. 35.0 bn from the date of EGM till 31 March 2029; and (ii) providing guarantees, securities, indemnities, comfort letters and/or other forms of credit enhancement support on behalf of IGESL upto Rs. 5.0 bn for one year from the date of EGM. The company should have sought separate approval for each transaction. Since the approval is clubbed for RPTs with both Inox Clean and Inox Green, the RPTs with Inox Green is being recommended against as well. Hence, we do not support the resolution.

He heads the company’s engineering and product development department. The company proposes to pay him professional fees of Rs. 6.5 mn for FY26 for availing professional services for engineering, operations, maintenance, product development of wind turbine generators and its components. While the amount is reasonable, we raise concerns that he does not attend board meetings. He has attended four out of seven (57%) board meetings held in FY25 and sixteen out of twenty-two (73%) board meetings in last three financial years. Given his poor attendance at board meetings, it is unclear if he will devote sufficient time towards his professional responsibilities towards the company. We do not support the resolution.

The company has clubbed approvals for multiple entities into one resolution, rather than seeking shareholder approval entity-wise. - Aditya Birla Sun Life Mutual Fund, Axis Mutual FundMs. Urvashi Saxena, 79, is a retired Indian Revenue Services officer. She has held various positions in the Income Tax Department in Mumbai, Delhi and Pune. Post-retirement, she was appointed as a member of the Income Tax Settlement Commission in Mumbai, where she rose to become Vice Chairperson and later Chairperson in Delhi. Currently, she is a partner in a law firm in Mumbai, pursuing legal practice in fields of taxation and corporate affairs. The company has disclosed that the Inox Group does not currently receive services from the law firm where Ms. Urvashi Saxena is a partner. We do not encourage companies to appoint independent directors for short terms (one year in this case) since it may not lead to effective oversight by the board. The Nomination and Remuneration Committee should clarify how the proposed term of one year aligns with the company's governance framework and ensures effective oversight. Ms. Urvashi Saxena’s past directorships include Winsome Diamonds and Jewellery Limited, Elder Pharmaceuticals Limited, Elder Health Care Limited, Gammon India Limited, among others – there have been serious governance issues with the companies during her board tenure with these companies. Given the corporate governance failures that have laced her past directorships, we do not support Ms. Urvashi Saxena’s appointment as Independent Director.

Given the corporate governance failures that have laced her past directorships, we do not support Ms. Urvashi Saxena’s appointment as Independent Director.
- ICICI Prudential Mutual FundAs highlighted by the proxy advisory, Ms. Urvashi Saxena’s past directorships include firms with governance issues during her board tenure. Consequently, the AMC does not support her appointment. Hence, the AMC has voted against the resolution. For this proposal, the AMC has also considered various applicable factors for casting votes on behalf of ESG schemes.
- Kotak Mahindra Mutual FundAccording to Regulation 46 of SEBI LODR 2015, the company is required to provide the terms and conditions of appointment of the independent Directors on the company s website. The Appointment Letters of other Independent directors on the board are available on the website, however, the same has not been provided for Mrs Urvashi Saxena. Furthermore, the Companies Act stipulates that the term of an Independent Director can extend up to a maximum period of five years. A one-year term seems too short for an Independent Director to make a meaningful contribution to the company's affairs. The company should clarify how the proposed term of one year aligns with the company's governance framework and ensures effective oversight. Since no clarification is provided by the company and the resolution being non-compliant by Regulation 46 of SEBI LODR 2015 , voting against.
