Exchange has sought clarification from Gillanders Arbuthnot & Company Limited with respect to an announcement submitted to the Exchange dated May 30, 2016, that the Board of Directors of the Company in their meeting held on May 29, 2016, have taken the following decisions: 1. To discontinue the operations of the fabrication factory of the Engineering (MICCO) Division of the Company located at Sodepur, West Bengal, with immediate effect; and 2. To sale the land and building structures located at the said factory premises. Accordingly, an Agreement for Sale has been approved by the Board.On basis of above the Company is required to clarify following:1. Amount & percentage of turnover or revenue or income and net worth of the listed entity contributed by such unit or division during the last financial year;2. Reasons.The response of the Company is awaited.

With reference to letter dated February 18, 2014 wherein Company has signed a Share Purchase Agreement for purchase of 100 per cent fully paid up equity shares of Group Developments Limited, Malawi (GDL), Further the Company has now inform that through its wholly owned subsidiary, Gillanders Holdings (Mauritius) Limited, Mauritius has completed the acquisition of the aforesaid shares of GDL at a total purchase consideration of USD 12.01 million.
