With reference to letter dated February 18, 2014 wherein Company has signed a Share Purchase Agreement for purchase of 100 per cent fully paid up equity shares of Group Developments Limited, Malawi (GDL), Further the Company has now inform that through its wholly owned subsidiary, Gillanders Holdings (Mauritius) Limited, Mauritius has completed the acquisition of the aforesaid shares of GDL at a total purchase consideration of USD 12.01 million.

Board of Directors of the Company at their meeting held on September 16, 2010 has issued and allotted 71,14,115 (Seventy one lakhs fourteen thousand one hundred fifteen) fully paid up Ordinary shares of Rs.10/- each, as Bonus Shares to those members of the Company entitled thereto as on September 15, 2010 being the Record Date fixed for the purpose. Accordingly, the Issued, Subscribed and Paid-up Share Capital of the Company stands increased to Rs.23,34,23,460/- (Rupees twenty three crores thirty four lakhs twenty three thousand four hundred sixty only) divided into 2,13,42,346 Ordinary Shares of Rs.10/- each and 2,00,000, 8% Cumulative Redeemable Preference Shares of Rs.100/- each.
