Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Against Taurus Mutual Fund
    • Taurus Mutual FundUnivastu Nuos IOT Systems Private Limited (UNISPL) is a 51% subsidiary of the company incorporated in October 2025 in collaboration with NUOS, flagship brand of Falcon Control Systems & Automation Pvt. Ltd, wireless Building Management System (BMS) technology providers. The proposed transactions are in the nature of sale, purchase, transfer or receipt of products, goods, materials, assets or services. As per the notice, UNISPL is a vendor and all prices are agreed based on market competitiveness. At maximum level of Rs. 1.0 bn, these transactions represent ~ 41% of the Univastu India’s consolidated FY26 turnover, which is significant. The company has not disclosed a rationale for this transaction. It is unclear what economic benefits will accrue to shareholders from these transactions. There is limited disclosure on the balance shareholding of the subsidiary. Further, the company has not defined a term for the validity of the resolution and thus, it is effectively valid in perpetuity. We believe shareholders must be able to periodically review such resolutions. Therefore, do not support the resolution.

    • Taurus Mutual FundAs on 31 March 2026, 60% of the paid-up share capital, free reserves and securities premium account amounts to Rs. 595.8 mn while 100% of its free reserves and securities premium account amounts to Rs. 633.1 mn. As on 31 March 2026, the company has outstanding loans, guarantees and investments of Rs. 14.6 mn under Section 186, which constitutes ~2.3% of the automatic limit of Rs. 633.1 mn for such transactions. This is an enabling approval, and it allows the company to give loans/ guarantees/ provide securities to any person or body corporate, including promoter companies. We believe the company must disclose granular details including names of these companies, the nature and size of their operations and terms of support, to enable shareholders to make an informed decision. Further, it appears the company is seeking approval for rolling limits. we do not support rolling limits (linked to net worth) and recommend that companies seek shareholder approval for a fixed quantum. Given the lack of clarity, we are unable to support the resolution.

  • Item 7, as a fund house numbered it
    Against Taurus Mutual Fund
    • Taurus Mutual FundAs on 31 March 2026, the automatic borrowing limit (aggregate of paid-up share capital and free reserves) of the company is Rs. 818.5 mn. As on 31 March 2026, the company had outstanding borrowings of Rs. 222.3 mn on a standalone basis and Rs. 331.0 mn on a consolidated basis. To meet company’s existing and future financial requirements to support its business operation, the company proposes to increase its borrowing limits to Rs. 7.5 bn. The company’s existing debt programmes are rated CRISIL BBB-/Stable/CRISIL A3 which denote an adequate degree of safety. An increase to Rs. 7.5 bn represents a potential leverage of 7.5x on the company’s current networth which is significantly high and likely to deteriorate debt metrics. The company has neither provided a specific business rationale nor disclosed the proposed deployment, quantum or timeline for the borrowings. Given the lack of clarity regarding the need and intended use of the proposed borrowings, we do not support the resolution.
