An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Re-appointment and remuneration of Mr. Rajeev Samant (DIN: 00020675) as Managing Director and Chief Executive Officer of the Company
    Against SBI Mutual Fund
    • SBI Mutual FundRajeev Samant, 58, is Promoter, Managing Director and Chief Executive Officer. He was paid a remuneration of Rs. 58.8 mn in FY25 (including perquisites / allowances as per AR25). While there is no increment in fixed pay, he is eligible to variable compensation of 2.5% of consolidated profit after tax and the company has capped his salary and variable pay at Rs. 55.0 mn. He is also eligible for reimbursement of business-related expenses (treated as perquisites / allowance in earlier years) capped at Rs. 18.3 mn which the company does not treat as his remuneration – taking overall remuneration for FY26 to Rs 78.3 mn. There is no clarity with respect to his performance metrics which will determine the variable pay. Further, the company must clarify on the treatment of reimbursements (in the current postal ballot notice) which were disclosed as allowances and perquisites at the time of his appointment in Postal Ballot of March 2023 and in all Annual reports since then. We note that even if the company does not report profits, he will receive the same fixed remuneration since the resolution proposes to pay minimum remuneration. While we support Rajeev Samant’s reappointment as Managing Director and CEO, we do not support his proposed remuneration – which is high for the size of business and higher than industry peers. Further, we expect clarity on the rationale for change in treatment of allowances and perquisites. On SBIMF framework, we observe that, the salary does not have a variable component which is more than 50%. We also observe that promoter family pay is above the regulatory threshold. Moreover, salary growth is not in line with the sales and PAT growth of the company . The salary as % of annual sales and ratio of the salary to the median employee is not in line with its peers. Hence, we do not support the resolution.
