Due to old age and indifferent health, Shri M.L. Patodia, Chairman (Promoter) has requested the Board of GTN Textiles Limited to accept his resignation and the Board of Directors at their meeting held on 24th July, 2008 accepted the same with deep regret and great reluctance. In appreciation of his inspiring and exemplary leadership since inception of over 4 decades as Chairman of the Board, the Board of Directors unanimously requested him to accept position of 'Chairman Emeritius' of GTN Textiles Limited with effect from 24th July, 2008. Please note that Shri. M.L. Patodia will not be a member of the Board, from the above mentioned date.

The Board of Directors of the Company have unanimously approved induction of Shri. N K Bafna as an Additional Director with effect from May 15, 2008 pursuant to the provisions of Section 260 of the Companies Act, 1956. Shri. N K Bafna is a Practicing Chartered Accountant and a Senior Partner of M/s. Lodha & Company, Chartered Accountants, Mumbai. Besides his proficiency in finance and accounts, he is also an expert in Company Law matters. Pursuant to Clause 49 of the Listing Agreement / Provisions of Companies Act, 1956, Shri. N K Bafna's appointment as a Director is considered as Non-Executive Independent Director. We are also pleased to inform you that Shri. N K Bafna has also been appointed as a Member of the Audit Committee, Shareholders/ Investors Grievance Committee and Remuneration Committee of the Board of Directors, effective from the said date (May 15,2008, onwards).
