An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Revision in the overall limit of remuneration of Shri Umesh Garg, Sr. Management Executive of the Company
Against Bank of India Mutual Fund
    • Bank of India Mutual FundUmesh Garg, 41, is a Senior Management Executive of the Company. He has a B.Tech degree from IIT Delhi and has over 15 years of experience in steel industry. He has worked on CR projects and Structure projects and also has experience in sales and marketing. He is the son of Ramesh Chandra Garg, Whole Time Director. As per exchange filings, his remuneration aggregated Rs. 12.0 mn for FY26. The company proposes to increase his remuneration to Rs. 60.0 mn per annum plus perquisites and retiral benefits: his overall remuneration can go up to Rs. 66.0 mn. Based on past payouts, we estimate his remuneration at Rs. 17.2 mn for FY27. While raise concern that that ceiling for maximum payout is high, the company has been judicious in actual payouts in the past. However, there is no clarity on how the company has benchmarked the proposed remuneration against peers in similar roles. The company must disclose his current role and responsibilities within the company. We further raise concern that three members of the promoter family are Executive Directors and six hold office of profit positions – which is excessive given the size of the company – this may limit the company from being able to attract the right professional talent. We do not support the resolution.

How money raised was used

Reported for the quarter to Jun 2025. The company's results filing for the quarter to Sep 2026 says no statement of how money raised was used applies to it. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
