Board of Directors of the Company at its meeting held on 27 May 2016, interalia, had: 1. Approved the proposal for shifting of Registered Office of the Company from the State of Odisha to the State of West Bengal, subject to requisite approval(s). 2. Approved the Postal Ballot Notice for seeking approval of the shareholders for: (a). Shifting of Registered office of the Company from the State of Odisha to the State of West Bengal, and (b). Approval of the Scheme of Amalgamation of VISA BAO Limited ('VBL') with VISA Steel Limited ('VSL' or the 'Company') and their respective shareholders ('the Scheme'). Further in compliance with the provisions of the Companies Act, 2013 read with applicable Rules and Regulation 44 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company has decided to provide the facility to members to exercise their right to vote by electronic means and avail the services of Karvy Computershare Private Limited for the same.
