We report that, "Mr. Kumar Nair, Promoter of Transwarranty Finance Limited along with Transwarranty Finance Limited have acquired 28,50,343 equity shares, comprising 55.05% of the paid up capital, of Vertex Securities Limited, a company engaged in the business of stock broking with member ship in NSE, BSE and Cochin Stock Exchanges and listed with Bombay Stock Exchange Ltd, through an off market transaction on 19.07.2008 pursuant to a Share Purchase Agreement with the promoters of Vertex Securities Ltd and in compliance of an Open offer under SEBI (SAST) Guidelines 1997".
