They propose to acquire equity shares of Tata Investment Corporation Limited from Tata Chemicals Limited. The number of shares proposed to be acquired is based on the Acquisition price per share. However, not less than 4,600,000 shares (13.35% of share capital) or greater than 5,000,000 shares (14.51% of share capital) are proposed to be acquired. The mode of proposed acquisition would be Inter se transfer and the date of proposed acquisition would be on or after February 13, 2008. The proposed acquisition price per share would be at the prevailing price on date of proposed acquisition, such price not being less than Rs. 600 per share or greater than Rs. 650 per share. The shareholding of Tata Sons Limited after the proposed acquisition would be not less than 18,547,595 shares or greater than 18,947,595 shares aggregating to not less than 53.82% or greater than 54.98% of the shares/voting rights of Tata Investment Corporation Limited.
