- Re-appointment of Mr. Chetan M Tamboli as Managing Director of the Company
Against Bank of India Mutual Fund
- Bank of India Mutual FundChetan M Tamboli, 66, is promoter, Chairperson and Managing Director. He has been associated with the company since 1991 and has over four decades of experience in the steel casting industry. He has been Chairperson since 2016 and CEO since 2003. He attended all five (100%) board meetings held in FY26. While he is not liable to retire by rotation, we draw comfort from the SEBI LODR amendments which have built in sufficient guardrails. He was paid remuneration of Rs. 59.2 mn in FY26, comprising salary, perquisites, and commission. His FY26 remuneration represented 4.9% of PBT and 11.2% of employee benefit expenses. Under the proposed terms, he will be entitled to remuneration of 5% of net profits, comprising salary, allowances, perquisites, and commission. Based on management’s FY27 PAT target, we estimate his FY27 remuneration at Rs. 66.7 mn. The proposed remuneration is high relative to the size and scale of the business and is not in line with peers. The remuneration structure is open-ended, as it is linked to profits without an absolute monetary cap. Further, the remuneration includes a commission component, and the company should disclose the performance metrics governing such variable pay. Given the concerns regarding the high estimated remuneration, absence of an absolute cap, inadequate disclosure of variable pay parameters, and excessive aggregate promoter-family remuneration, we do not support the resolution.
