- To receive, consider and adopt the Audited Financial Statements of the Company for the Financial year ended 31st March, 2026.
Against Aditya Birla Sun Life Mutual Fund
- Aditya Birla Sun Life Mutual FundWe have relied upon the auditors’ report, which has qualified the financial statements on following matters: i) The company entered into significant sale and purchase transactions with related party, Sparkle Gold Mines Private Limited amounting to Rs. 197.1 mn and Rs. 330.8 mn respectively during FY26. Managements states that these transactions are at arm’s length price. However, the auditors are not able to determine whether these transactions are on arm's length price or not. Further, Company obtained approval of shareholders for purchase transactions but proper approval for other transactions are not obtained under section 188 of Companies Act 2013. ii) Auditors noted delays in payments to several suppliers beyond the statutory timeframes prescribed under Section 15 of the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006 and penal interest rate is also not provided for delays. iii) Company has availed Input Tax Credit on purchases from outstanding trade payables. However, according to provisions of Goods and Service Tax Act and rules thereunder the ITC on these outstandings to be reversed along with interest. This liability towards reversal of ITC on these outstandings is being recorded in books amounting of Rs. 4.6 mn but interest on these liabilities is not provided by company in its books. iv) The company has not calculated or recognized the provision for Expected Credit Loss (ECL) on its outstanding trade receivables of Rs. 546.0 mn as required by Indian Accounting Standard (Ind AS) 109, Financial Instruments. The Auditors has raised Emphasis of matter regarding the retrospective restatement made by the company to correct a presentation error from the previous year. Borrowings amounting to Rs. 4.5 mn, which was previously classified under Non-Current Liabilities as Borrowings as of 31 March 2025, has now been correctly reclassified under Current Liabilities as Borrowings in the comparative figures. Further, company has not made Provision for the demand raised by various authorities (Such as Income Tax, customs etc.) as the matters are pending before various forums. Auditors has also issued a qualified opinion on the internal financial controls because the company did not have an appropriate internal control system for customer acceptance, credit evaluation and establishing customer credit limits for sales, which could potentially result in the company recognizing revenue without establishing reasonable certainty of ultimate collection. Further, we note that the auditors have highlighted certain issues related to the audit trail feature in the accounting software. We do not support the resolution.

Against Aditya Birla Sun Life Mutual Fund
- Aditya Birla Sun Life Mutual FundSparkle Gold Mines Private Limited (SGMPL) is engaged in the business of sale and purchase of bullion, gems, jewellery, metals such as gold and silver, diamonds, precious/semi-precious stones. Ms. Sarita Devi Sharma and Ms. Lakshita Sharma are common directors on the board. The proposed transactions of upto Rs. 10.0 bn are for the sale and purchase of bullion, gems, jewellery, metals such as gold and silver, diamonds, lab grown diamonds precious/semi-precious stones, granite, marble and artificial marble with SGMPL. The company states that the transactions are in the ordinary course of business and on arms’ length basis. We note that the proposed limit is ~2.9x the total income for SGMPL for FY25 and ~9x the total revenue of the company for FY26, which is high. The company has not provided adequate clarity on the business of Sparkle Gold Rock Ltd going forward. The majority of shareholding is held by individuals who are not yet classified as promoter shareholders and the company seeks to enter into transactions with companies controlled by these shareholders. The proposed transaction limit is high for the size of both related parties, without a clear rationale for the transactions. We do not support the resolution.

She has over 18 years of experience in corporate compliance, secretarial practices, and regulatory filings. The company has not disclosed her detailed profile, including her past work experience in the meeting notice. - To approve borrowing limits under Section 180(1)(c) of the Companies Act, 2013
Against Aditya Birla Sun Life Mutual Fund
- Aditya Birla Sun Life Mutual FundThe company seeks shareholders’ approval to enhance its borrowing limit to Rs. 2.0 bn for borrowing upto Rs. 1.0 bn under fund based facilities and Rs. 1.0 bn under non-fund based facilities due to increase in business activities, future plans and strategic requirements of the company. We note that there are discrepancies in notice regarding the proposed amount. The notice states that amount will not exceed Rs. 1.0 bn under fund based facilities and non-fund based facilities each and explanatory statement states amount under fund based facilities as Rs. 0.6 bn and 0.4 bn under non-fund based facilities. As on 31 March 2026, the debt stood at Rs. 1.6 bn with current debt/equity ratio at 3.0x and debt/EBITDA ratio at 2.9x, which is high. We note that, the companies automatic limit is 52.4 mn and it has already borrowed more than its existing borrowing limit. Further, we believe that the company should have sought approval for creating charge on assets separately under section 180(1)(a), to allow shareholders to express an independent opinion. The amount proposed is high as compared to size of the business. We do not support the resolution.
