Against Bandhan Mutual Fund, Groww Mutual Fund
- Bandhan Mutual FundWe have relied upon the auditors’ report, which has raised several concerns. Moreover, auditors have qualified consolidated financial results and group’s internal financial controls mainly because of qualified accounts and internal financial controls of PTC India Financial Services Limited (PFS) – a material subsidiary of the company. The auditors have cited multiple reasons for the qualified opinion i.e. payment / reimbursement of personal expenses incurred for the then Managing Director and Chief Executive Officer (Erstwhile MD & CEO) and Non-Executive Chairman (NEC) on account show cause notice (SCN) sent by Reserve Bank of India (RBI) and Securities and Exchange Board of India (SEBI), weakness in internal control systems with respect to system driven interest / penal interest charging etc. The qualified opinion also highlighted continued corporate governance issues related with conducting few meetings, shorter notice and delay in signing and finalization of the few minutes of Audit Committee and Board Meeting as well as quality, quantity and timelines of flow of information between the company and to the board members. The auditor is unable to ascertain the impact of the aforesaid matters on the consolidated financial statements. Hence, we do not support the resolution
- Groww Mutual FundBasis the qualification raised by the auditor relating to qualified Financial Statements of subsidiary of the entity, we are of the belief that the subsidiary is material given the net worth and hence we vote against the resolution
