The Hon'ble High Court of Judicature at Bombay has approved the Composite Scheme of Arrangement u/s 391 to 394 read with Sections 100 to 103 of the Companies Act, 1956 filed by the Company, on September 07, 2007. a) Merger of Shark Properties Private Limited ('SPPL') into Nitco Tiles Limited ('NTL'); b) Merger of Nitco Realties Private Limited ('NRPL') into Motivation Properties Private Limited ('MPPL'); c) Pursuant to the merger NTL shall issue of 10 (Ten) Equity Shares of Rs. 10/- each fully paid up of NTL in respect of every 27 (Twenty Seven) Equity Shares of Re. 1 each held in SPPL and issue of 10,000 fully paid up Preference Shares of Rs. 10 each of MPPL for 10,000 equity shares of Rs. 10 each held by NTL in NRPL; and d) Subsequent to the merger, change of name of Motivation Properties Private Limited to Nitco Realties Private Limited
