As a response to several media queries, Mphasis clarifies that it has not entered into any transaction which requires it to leverage its cash and incur additional debt. Our cash and cash equivalent position remains strong and unchanged. The Company has cash and cash equivalents of Rs. 23,385 million on its balance sheet as on the last quarter ended April 30, 2012.

Subject to the provisions of the SEBI (Employee Stock Option Scheme and Employee Stock Purchase Scheme) Guidelines, 2000, 5,67,300 Stock Options have been granted to all the eligible employees of the Company / subsidiaries ("Employees") effective March 14, 2012, under the Mphasis Employees Stock Option Plan-2012 (ESOP-2012) at an exercise price of Rs. 410.25 each vide resolution passed by the Compensation Committee of the Board of Directors. Each of the stock option entitles the holder to apply for one equity share of the Company of Rs. 10/- each. The stock options have a vesting period of 24 months with 50% of the stock options vesting at the end of each year.
