Exchange has sought clarification from Lloyds Metals And Energy Limited with respect to announcement dated 08-Aug-2023, regarding applying for EC for enhancement of Mining Capacity of the Surjagarh Iron Ore Mines of the Company and incorporation of 100% Wholly-Owned Subsidiary of the Company. On basis of above the Company is required to clarify following: 1. Existing capacity utilization;2. Period within which the proposed capacity is to be added;3. Mode of financing;4. Rationale.5. Name of the target entity, details in brief such as size, turnover etc;6. Whether the acquisition would fall within related party transactions and whether the promoter/ promoter group/ group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at "arm's length";7. Industry to which the entity being acquired belongs;8. Objects and effects of acquisition (including but not limited to, disclosure of reasons for acquisition of target entity, if its business is outside the main line of business of the listed entity);9. Brief details of any governmental or regulatory approvals required for the acquisition;10. Indicative time period for completion of the acquisition;11. Cost of acquisition or the price at which the shares are acquired;12. Nature of consideration - whether cash consideration or share swap and details of the same;13.
