At the Compensation Committee of Board of Directors Meeting held on April 02, 2013 have made allotment of 46,257 Equity Shares of Rs.10/- each to the employees of the company at a premium of Rs.160/- per share under Employee Stock Option Scheme 2009 of the Company. Consequent to the said allotment the Paid-up Share Capital of the Company has increased from 1,37,02,184 Equity Shares of Rs.10/- each to 1,37,48,441 Equity Shares of Rs.10/- each.

At the Board of Directors Meeting held on January 28, 2010 the following business were transacted: (1) Employee Stock Option Scheme: The Compensation Committee of Board of Directors of the Company at its Meeting held on January 28, 2010, have approved grant of 1,37,000 Stock Options under Employee Stock Option Scheme to eligible Employees of the Company. The Options were granted at an Exercise Price of Rs.170/- per share, being below the market price at discount of Rs.78.20/- per share on yesterday closing price. (2) Incorporate a 100% wholly owned Subsidiary Company: The Board of Directors of the Company at its meeting held on January 28, 2010 proposed to incorporate and invest in 100% wholly owned subsidiary, which is being formed solely to undertake business of Agriculture activities mainly in Green Houses and Poly Houses. Further, the Board has recommended that necessary approval from the shareholders be obtained through Postal Ballot as per the provisions of Section 192A of the Companies, 1956 read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001.
