Company through its Special Purpose Vehicles had acquired SAE Towers Holdings LLC together with its subsidiaries at an Enterprise Value of USD 95 million, in the month of September 2010. Full purchase consideration for the acquisition was funded through raising loan. As per the repayment schedule of the said loan, the first installment will become due in December 2012. Further the Company informs that out of internal accruals generated by SAE Towers, a prepayment of USD 5 Million towards loan has been volutarily made within a very short span of nine months of SAE Towers acquisition.10 Jun · Meeting

Board of Directors in its meeting held on September 06, 2010 have approved the proposal to acquire SAE Towers Holdings LLC (SAE Towers), a limited liability company incorporated in Delaware, USA along with its operating subsidiary companies in Brazil, Mexico and the USA. SAE Towers has manufacturing facilities in Brazil and Mexico and a tower test station at Brazil. SAE Towers is engaged in manufacturing and supply of power transmission towers, related hardware, sub-station structures and poles for power transmission. The Company has executed the definitive Agreements in connection with this acquisition. The transaction is expected to close in September 2010, subject to Regulatory Approvals and Customary Closing conditions.
