In pursuance to the Shareholders approval at the EGM of the Company held on November 19, 2013 and the In-Principle Approval granted by the Stock Exchanges, the Preferential Allotment Committee of the Board of Directors of the Company at its meeting held on December 03, 2013, has allotted 1,50,00,000 (One Crore Fifty Lacs) equity shares of the Company of Re. 1/- each to Sahyadri Agencies Limited on Preferential basis at the Issue Price of Rs. 175.15 per Equity Share (including Rs. 174.15 towards share premium) against receipt of entire amount payable by Sahyadri Agencies Ltd in cash aggregating to Rs. 262,72,50,000/- in terms of Chapter VII of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009. Consequent to the aforesaid allotment, the paid-up capital of the Company has increased from Rs. 16,60,23,496/- to Rs. 18,10,23,496/-.

Jyothy Laboratories Limited ("JLL") informs shareholders that it has acquired a total of 14,035,431 Equity Shares, being 12.05% of the equity share capital of Henkel India Limited ("HIL") through the Open Offer. Pursuant to completion of payment to tendering shareholders, these equity shares have been transferred to Jyothy. Further, 59,360,203 equity shares of HIL, forming 50.97% of its equity share capital, which were acquired from Henkel AG & Co. KGaA in May, 2011, have also been released from an escrow account into JLL's account. As on date, the shareholding of JLL in the equity shares of HIL stands at 83.65%.
