With reference to the earlier announcement dated October 24, 2012 and based on the report of the chairman on the meeting of equity shareholders, secured creditors and unsecured creditors of Genus Power Infrastructures Limited ("Company") held on October 23, 2012, the Company has now informed the Exchange that the Scheme of Arrangement for amalgamation of Genus Paper Products Limited with the Company and demerger of 'Non Power Infrastructure Undertaking' of the Company into Genus Paper & Boards Limited have been approved by the requisite majority of the equity shareholders, secured creditors and unsecured creditors of the Company, as per the provisions of the Companies Act, 1956.

Board of Directors of the Company at their meeting held on July 15, 2011, has allotted 70,00,000 equity shares of Re.1/- (Rupee One Only) each at a premium of Rs.18/- (Rupees Eighteen Only) per share (i.e. conversion at the rate of Rs.19/- (Rupees Nineteen Only) per share), upon conversion of 70,00,000 convertible warrants.
