Exchange has sought clarification from Ashok Leyland Limited with respect to announcement dated March 30, 2015 regarding "Sale of Stake in Ashok Leyland Wind Energy Limited and Avia Ashok Leyland Motors". On the basis of above Company is required to clarify the following: 1. Amount and Percentage of the Turnover or revenue or income and net worth contributed by such entity during the last financial year; 2. Date on which the agreement for sale has been entered into; 3. Consideration received from such sale; 4. Brief Details of buyers and whether any of the buyers belong to the promoter/promoter group companies. If yes, details thereof; 5. Whether transaction would fall within Related Party Transactions? If Yes, Whether the same is done at arm s length; 6. Rationale. Reply from the Company is Awaited.

Exchange had sought clarification from Ashok Leyland Limited with respect to a news item captioned "Ashok Leyland set to sell 2 non-core units abroad . The Company has clarified that "We would like to invite your kind attention to the fact that in the Annual Report 2013-14, a clear mention about "Assets held for sale" have been indicated at appropriate places where in the Company has mentioned about its intention to sell the stakes in three companies viz., Albonair GmbH, Albonair India Pvt Ltd and Avia Ashok Leyland Motors Limited. Based on the above disclosures in the Annual Report, a query was raised by the Press while we were discussing the Second Quarter/Half year ended Sep 30, 2014 unaudited results, for which the Company management replied that the process of identifying an investor is currently on. Since the process is currently underway and the final suitor is yet to be identified, the Company has not informed the Stock Exchanges as it has currently nothing to report. If and when the process is completed and definitive agreements entered into with any buyer/ investor, we will intimate the Stock Exchanges under Cl 36 of the listing agreement, before we inform the press or any third party".10 Nov · Legal

In this regard, Exchange have advised the Company to provide clarification/confirmation on the news item in detail including the following: a) Whether such event/negotiations/article stated in published news were taking place? If so, you are advised to provide the said information along with the sequence of events in chronological order and the material impact of this article on the Company. b) Whether company are aware of any information that has not been announced to the Exchanges under clause 36 of the Listing Agreement. Pursuant to the decision of the Madras Stock Exchange Limited (MSE) to seek voluntary surrender of recognition and exit as a stock exchange ( as MSE did not meet the SEBI criteria on annual turnover), the Company had applied for voluntary delisting of equity shares from Madras Stock Exchange (MSE). The Listing Committee of MSE approved the same and confirmed that the name of the Company has been removed from the list of Listed Securities of MSE with effect from September 25, 2014.
