An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Edelweiss Mutual Fund, Groww Mutual Fund, The Wealth Company Mutual FundCompliant with law. Governance concern: Committee discretion to determine a shorter exercise period. Further, the proposed limit of maximum options per employee under proposed Plan indicates a potential for excessive benefits to a single employee.
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted because: • There is limited disclosure around performance metrics, targets, thresholds and modifier mechanisms, making it difficult to determine whether vesting outcomes will be appropriately aligned with business performance and shareholder experience. • The rationale for extending benefits of the scheme to employees of the holding companies remains unclear, as that they do not directly contribute to the company's performance.
    • HDFC Mutual FundESOPs are being granted at a significant discount to market price. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We do not support the resolution.
    • Kotak Mahindra Mutual FundThe Company seeks approval for the VAML ESOP 2026, under which up to 166.2 mn options may be granted. The scheme will be implemented through an employee welfare trust, which will acquire shares through secondary acquisition. The scheme size is ~4.25% of the expanded capital base as on 30 June 2026. Options carry an exercise price equal to face value and an exercise period of eight months. The Committee would have the discretion to determine a shorter exercise period. it would defeat the significance of stock options. Employees would be benefitted but, company would not be able to retain their key employees. Hence, we do not favour the resolution.
    • PPFAS Mutual FundCommittee discretion to determine a shorter exercise period; Excessive potential benefit to single employee.
    • Tata Mutual FundWe do not support ESOPs granted at Face Value. In this case while ESOPs are linked to performance its exercise price is at Face value. Thus we do not support this resolution.

    • Unifi Mutual FundThe company seeks approval for Vedanta Aluminium Metal Limited – Employee Stock Option Plan 2026 (VAML ESOP 2026), under which up to 166.2 mn options may be granted. The scheme will be implemented through an employee welfare trust by way of secondary acquisition of shares. The overall scheme size is ~4.25% on the expanded capital base as on 30 June 2026. The exercise price is fixed at face value with an exercise period of eight months. The scheme is performance-linked: vesting shall be linked to a combination of business performance and individual performance metrics over a sustained performance period of three years. Business performance shall be evaluated based on the achievement of operational, financial, and strategic performance metrics as determined by management including but not limited to Volume, Cost of Production, EBITDA, Free Cash Flow, Market Capitalization against approved targets, and profit margins. The business performance condition shall have a minimum weightage of 50% for any employee. For leadership & middle management roles, the vesting outcome shall be: business performance conditions (50%), individual performance condition (40%), and other performance, strategic, or business-related parameters (10%). For non-leadership roles, the vesting outcome shall be weighted as follows: business performance conditions (50%) and individual performance condition (50%). For each performance metric, the Committee shall determine the applicable performance targets, threshold levels, and corresponding weightages. If the minimum threshold level prescribed for any performance metric is not achieved during the relevant performance year or performance cycle, as applicable, such metric shall be assigned a performance score of zero, and no vesting credit shall accrue in respect of that metric. All performance scores shall be assessed and applied in accordance with the methodology determined by the Committee. These broadly measurable metrics and the individual performance thresholds strengthen alignment with shareholder interests. However, where vesting is performance-based, our guidelines expect companies to disclose the annual performance targets upfront or commit to disclosing achievement against those targets in subsequent annual reports. VAML has not disclosed the annual targets and has not made a clear commitment to disclose targets and their achievement in future annual reports. Given the lack of disclosures on performance targets, we do not support the resolution.
