Amalgamation of UMBL and MBIL into UBL will be subject to the approval of Hon'ble Board for Industrial & Financial Reconstruction (BIFR) constituted under Section 4 of the Sick Industrial Companies (Special Provisions) Act, 1985 and the permission or approval of any other statutory or regulatory authorities which by law may be necessary for the implementation of the respective rehabilitation-cum-merger Schemes of these companies. Share Exchange Ratio: The share exchange ratios were recommended by two independent valuation experts i.e. Grant Thornton and SSPA & Co. Ambit Corporate Finance Pvt Ltd shall be providing fairness opinions on the swap-ratios recommended by the independent valuation experts. As consideration for Amalgamation of above mentioned companies, UBL will issue shares to the shareholders of following companies in the following ratio : 6 equity shares of Re. 1/- (Rupee one only) each of UBL for every 31 equity shares held in MAPL. 33 equity shares of Re. 1/- (Rupee one only) each of UBL for every 16 equity shares held in Empee.1 equity share of Re. 1/- (Rupee one only) each of UBL for every 12 equity shares held in MBIL.
