Pursuant to Section 192A of the Companies Act, 1956 (the 'Act') read with Companies (Passing of the Resolutions by Postal Ballot) Rules, 2001, the Company is seeking consent of its members in respect of following Special Business, to be passed through Postal Ballot: 1) Special Resolution for issue of shares under Employee Stock Options Scheme; 2) Special Resolution for issue of warrants on preferential basis. Mr. S C Gupta, Retired District Attorney, has been appointed Scrutinizer for conducting the Postal Ballot in a fair and transparent manner. The duly completed postal ballot form should reach the Scrutinizer on or before June 29, 2007. The result of the Postal Ballot shall be announced on June 30, 2007.
