An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Bandhan Mutual Fund, Bank of India Mutual Fund, Edelweiss Mutual Fund, LIC Mutual Fund, Nippon India Mutual Fund
    • Bandhan Mutual Fund, Edelweiss Mutual FundCompliant with law. No concern on the merits of proposed appointee. Governance Concern: No absolute cap on the variable pay or total remuneration, which leaves room for transfer of excessive benefits in case of increased profitability. Exact same remuneration has been paid to all EDs in the past and same remuneration is proposed to Mr. Sammir Dattani. This indicates that the Company’s remuneration practice is some sort of a family arrangement; and not based on performance of director.
    • Bank of India Mutual FundSammir Dattani, 43, is a part of the promoter family. He was an Executive Director on the board till June 2024. He handles raw material procurement for Polyester Filament Yarn and Fully Drawn Yarn segments. In FY25, he received Rs. 24.0 mn as remuneration as an employee of the company. As Executive Director, the remuneration can be upto Rs. 40.0 mn plus profit linked commission of upo 1.25% of net profits. However, there is no guidance provided regarding the absolute level of commission payout. Therefore, we are unable to estimate the aggregate annual remuneration. The company should cap the overall remuneration (including commission) in absolute terms and disclose the performance parameters that govern his variable pay. Further, we raise concerns over the excessive number of promoter family members on the board: there are four promoter executives on the board and four family members in office of profit positions, which is high for the size of business. In FY25, aggregate promoter executive remuneration (including office of profit positions) was Rs. 181.0 mn, which was high at 8.4% of FY25 PBT. Given the ambiguity about the aggregate remuneration, excessive promoter executives on the board and high promoter remuneration, we do not support the resolution.
    • LIC Mutual FundGovernance Concern: No absolute cap on the variable pay or total remuneration, which leaves room for transfer of excessive benefits in case of increased profitability. Exact same remuneration has been paid to all EDs in the past and same remuneration is proposed to Mr. Sammir Dattani.
