Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Against Taurus Mutual Fund
    • Taurus Mutual FundThe company seeks approval to amend the scheme by increasing total number of options reserved under the scheme from 3,844,000 options to 8,638,617 options. The dilution on exercise of all the options is ~2.0% on expanded capital base. The exercise price is at the discretion of NRC but shall neither be less than the face value of share nor more than the fair market value of the share on the date of grant. The minimum vesting period of an option is one year with the maximum vesting period of five years from the date of grant of options. The exercise period is maximum of seven years from the respective date of vesting of options. We do not favour ESOP schemes where the exercise price can be at a significant discount (greater than 20%) to market price for time-based vesting of stock options. Further, we raise concern that the exercise period as per the scheme can be up to seven years, which is long. Employees can continue holding options without converting them into shares - giving them the full upside potential of any stock appreciation while avoiding the downside risks that remain for other shareholders. Given that the exercise price could be at a substantial discount to the prevailing market price, we do not support this resolution.
