Board of Directors in its meeting held on January 31, 2011 have decided the following subject to approval of the shareholders of the Company in the General meeting and other necessary approvals: (a) Increase in Authorised Share Capital of the Company from 1300 crores to 3000 crores. (b) Sub-division of face value of share of Rs. 10/- each fully paid up into 2 (Two) equity shares of Rs. 5/- each fully paid-up. (c) lssue of bonus shares to the existing shareholders of the Company in the proportion of 1 (One) Bonus share for every 1 (one) existing fully paid-up equity shares held. (d) Offer of shares to the employees of the Company under Employees Stock Option Plan, and (e) Consequent amendments to the Memorandum and Articles of Association of the Company. Further above items ware not part of the agenda sent to all directors for the above Board Meeting. The matters were discussed during the meeting and decided as aforesaid.21 Jan · Corporate action
