Result of the voting conducted through Postal Ballot on the Ordinary Resolution under Section 293(1)(a) of the Companies Act, 1956, relating to transfer of BOT Toll Road Projects and other investments in infrastructure, power and coal mine business (transaction shares) on an arms - length basis to Madhucon Infra Limited (a subsidiary of Madhucon Projects Limited). The Resolution has been approved by the shareholders with the requisite majority. Further the Company has also submitted Minutes of Proceedings held on March 25, 2008 relating to declaration of the result on the voting by Postal Ballot conducted pursuant to Section 192A of the Companies Act, 1956 on the Ordinary Resolution under Section 293(1)(a) of the said Act as set out in the Notice dated February 14, 2008 pursuant to Section 192A (2) of the Act.
