Kothari Products Ltd. has informed the Exchange that pursuant to section 192A of the Companies Act, 1956 read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, the following draft resolution is proposed to be passed as a Special Resolution by means of postal ballot: Special Resolution under section 149 (2A) of the Companies Act, 1956 for commencement of the new businesses mentioned in clauses nos. 20 & 21 of the other Objects of the Memorandum of Association of the Company. The company has appointed Mr. Adesh Tandon, a practising Company Secretary of Kanpur as scrutinizer for conducting the postal ballot process in a fair and transparent manner. The duly completed postal ballot form should reach the Scrutinizer on or before the close of working hours on June 11, 2007. The results of postal ballot will be declared by the Chairman on June 18, 2007.
