Ltd., wholly owned subsidiaries with the Company, subject to necessary approvals. The draft scheme of Amalgamation under Sections 230 to 232 of the Companies Act, 2013 is attached.24 May 2022

The orders passed by the Hon'able High Courts have been filed with the Registrar of Companies, Gujarat on May 15, 2012 and Registrar of Companies, Maharastra on May 16, 2012. At the meeting of the Board of Directors of the Company held on May 16, 2012 has fixed May 31, 2012 as the record date for Tonira Pharma Limited members entitlement of the shares in the ratio of 6 (Six) fully paid up equity shares of Rs 2/- each of the Company for every 100 (One Hundred) fully paid up equity shares of Rs 10/- each held by them in Tonira Pharma Ltd. being the share exchange ratio fixed for merger.
