Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Against 360 One Mutual Fund, Sundaram Mutual Fund
    • 360 One Mutual Fund, Sundaram Mutual FundAsheesh Mohta, 48, is Senior Managing Director and head of real estate India at Blackstone Advisors India Private Limited. He has over 18 years of experience in real estate investments across the residential, commercial and hospitality sectors. He has been associated with the Company since 4 May 2022. He attended six out of twenty-five (24%) board meetings held in FY26. We expect directors to attend atleast 75% board meetings in the year of reappointment and in the three years prior to reappointment. While his appointment is in line with statutory requirements, given the low attendance, we do not support the resolution.

Against 360 One Mutual Fund, Edelweiss Mutual Fund, Sundaram Mutual Fund
    • 360 One Mutual Fund, Sundaram Mutual FundThe options pool comprises 30.0 mn options. Exercise of the options would result in an overall dilution of ~1.0% on the expanded capital base. The minimum vesting period is one year, with the maximum vesting period being five years. Vesting may be linked to the company’s performance, other performance parameters and individual performance parameters, as determined by the Administering Agency (as constituted by the company) and specified in the respective Letter of Grant. The exercise price shall be determined by the administering agency in accordance with ESOP 2025 and specified in the respective Letter of Grant, subject to the exercise price being not less than the face value of the shares. However, the scheme does not provide clarity on how the exercise price will be determined or whether options could be granted at a significant discount to the prevailing market price. We do not favour ESOP schemes where the exercise price can be at a significant discount (greater than 20%) to market price. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the options are issued at significant discount to the market price. Further, in case of significant discount, we expect the vesting of the stock options to be based on clearly defined performance metrics along with confirmation that the targets along with their achievement, will be disclosed by the company in the subsequent annual reports. Given the lack of clarity on the exercise price and absence of any performance-based vesting criteria, we do not support the scheme. Hence, we do not support the resolution.
