GMR Power Corporation Ltd. [GPCL], subsidiary of the Company's wholly owned subsidiary Company GMR Energy Ltd. had approached the Tamil Nadu Electricity Regulatory Commission [TNERC] for adjudication of disputes with Tamil Nadu Electricity Board [TNEB] arising out of the Power Purchase Agreement with TNEB. After adjudication of the dispute, TNERC by its order dated April 16, 2010 allowed the claims of GPCL and directed TNEB to pay approximately Rs. 480 crore with interest in six equal monthly installments. Aggrieved by the said order of TNERC, the TNEB has preferred an appeal before the Appellate Tribunal for Electricity (APTEL). The APTEL by its interim order dated November 19, 2010 has directed TNEB to make the first installment payment of Rs. 100 crore in December 2010 and Rs. 60 crore thereafter every month for the balance amount. This order is however subject to the final outcome in the appeal. In compliance with the interim order of APTEL, TNEB has made a payment of Rs. 100 crore on December 10, 2010.

The Company is engaged inter alia in the business of power generation, transmission, and distribution of electricity in India. The Board of Directors of the Company has, on May 17, 2010, approved the aforesaid investment by the Investors for subscription to convertible securities of the Company.
