Exchange has sought clarification from Exide Industries Limited with respect to announcement dated 25-Jun-2018, regarding " Exide Industries Limited has informed the Exchange regarding the Company has entered into an "Asset Purchase Agreement with Tudor India Private Limited towards acquisition of its immovable assets (admeasuring 64,470 sq. mts.) and movable assets of its factory situated at "Plot No. 10/1, Kamalpur, N.H. No. 8, Taluka Prantij, District Sabarkantha, Gujarat". The above asset purchase transaction is expected to complete within a month.". On basis of above the Company is required to clarify following: 1. Nature of consideration - whether cash consideration or share swap and details of the same; 2. Cost of acquisition or the price at which the shares are acquired; 3. Whether the acquisition would fall within related party transactions and whether the promoter/ promoter group/ group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at "arm's length"; The response of the Company is awaited.
