Exchange has sought clarification from Everest Industries Limited with respect to announcement vide letter dated July 15, 2015 wherein "Board of Directors in their meeting held on July 15, 2015 have decided to make Everest Building Solutions Limited as its wholly owned subsidiary Company. Presently, the Company is holding 19% of the paid up share capital of Everest Building Solutions Limited".On basis of above you Company is required to clarify that : 1. Whether the promoter/promoter group/group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof;2. Whether the transaction would fall within related party transactions ? If yes, whether the same is done at arm's length;3. Industry to which the entity being acquired belongs; 4. Objects of the acquisition;5. Indicative time period for completion of the acquisition;6. Brief back ground about the entity in terms of line of business acquired, date of incorporation, history of last 3 years turnover and any other significant information (in brief).7. Nature of consideration whether cash consideration or share swap and details of the same;The reply from the Company is awaited.
