An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against Taurus Mutual Fund
    • Taurus Mutual FundDharmesh Anil Mehta’s FY26 compensation was at Rs. 80.0 mn – at 8.2% of profits before tax, which is high. The proposed remuneration terms permit maximum annual (including variable pay) remuneration that can go upto up to Rs. 320.0 mn. Based on past trends, he has drawn only fixed pay. The growth in his remuneration has outpaced the growth in revenues and profit over the last five years with remuneration remaining unchanged despite fall in profitability. His estimated remuneration is high relative to the size and scale of company’s operations and peers. The company should also link the variable pay to performance and disclose the performance metrics governing variable pay. While we support his reappointment, given the high overall compensation, we do not support the resolution.

  • Item 6, as a fund house numbered it
    Against Taurus Mutual Fund
    • Taurus Mutual FundDhvanil Dharia‘s proposed remuneration terms include a fixed salary of Rs. 17.5 mn, performance linked variable pay not exceeding twice the annual fixed pay and stock options that may be granted. His FY26 compensation aggregated Rs. 15.0 mn, excluding variable pay and ESOPs. As per the proposed terms, his estimated cash pay including performance based variable pay for can go upto Rs. a maximum of Rs. 52.5 mn, but we are unable to estimate the fair value of ESOPs that may be granted. We raise concerns that the overall remuneration is high and not commensurate with the size of the company without clarity on the quantum of stock options that may be granted in FY27. Further, it is unclear whether he will receive any remuneration from the wholly owned subsidiary, DAM Asset Management Limited, where he serves as a director. While we support his appointment, given the high overall executive compensation levels and the lack of clarity in the remuneration structure, we do not support the resolution.
    0 for1 against
  • Item 7, as a fund house numbered it
    Against Taurus Mutual Fund
    • Taurus Mutual FundThe options pool comprises of 3,534,300 options, of which 530,145 options have been granted. The scheme results in overall dilution of ~4.8% on the expanded capital base as on 30 June 2026. The vesting of stock options is time based, with vesting to occur between one to five years from the grant date. The exercise price shall upto 25% discount to market price as on the date of grant and not be less than the face value of the equity share (Rs. 2.0). We do not favour ESOP schemes where the exercise price can be at a significant discount (greater than 20%) to market price. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the options are issued at significant discount to the market price. Further, in case of a deep discount we expect the vesting of the stock options to be based on clearly defined performance metrics along with a confirmation that the targets along with their achievement will be disclosed by the company in the subsequent annual reports. While the proposed amendments to the ESOP scheme are largely operational in nature, the underlying scheme allows for a 25% discount to the market price with time-based vesting. Hence, we are unable to support the resolution.
