Cummins India Ltd. has informed the Exchange that: "We wish to inform you that the Hon'ble Bombay High Court vide its order dated March 20, 2009, has approved the Scheme of amalgamation of Cummins Sales and Service India Limited (CSS) and Cummins Auto Services Limited (CASL) wholly owned subsidiaries of Cummins India Limited (CIL) into CIL, Appointed Date being April 1, 2008. The Certified Copy of the said order has been received on March 30, 2009 and the same has been filed with the Registrar of Companies, Maharashtra, Pune, on April 1, 2009. Therefore, in terms of the Scheme approved by the Hon'ble Bombay High Court, CSS and CASL stand amalgamated into CIL on April 1, 2009". Further, the Company has also informed that in terms of the Scheme of Amalgamation approved by the Hon'ble Bombay High Court, CIL is not required to issue/ allot any shares to the shareholders of CSS and CASL, being wholly owned subsidiaries of CIL.
