Exchange had sought clarification from Ashima Limited with respect to an announcement dated December 15, 2014 titled "Scheme of Arrangement" wherein the Company had informed the Exchange that the Board considered and approved - the Scheme of Arrangement for Reconstruction and Compromise under Sections 391 to 394 read with Sections 100 to 103 of the Companies Act 1956 and Section 52 of the Companies Act, 2013 and such other sections as may be applicable, between the Company and its equity shareholders, preference shareholders and secured creditors ('Scheme'). The Company has clarified that The Company is in the process of finalizing the finer details of the Scheme of Arrangement and preparing various submissions forming part of the Scheme documentation as required under listing agreement. We expect to file the complete scheme documents with you within next few days. The Scheme contemplates financial reconstruction of the Company pursuant to significant infusion of equity capital, re-organisation of preference share capital and settlement of Outstanding Secured Debts of the Secured Creditors of the Company . On basis of above the Company is required to clarify following: a) Details and reasons for restructuring; b) Quantitative and/ or qualitative effect of restructuring; c) Details of benefit, if any, to the promoter/promoter group/group companies from such proposed restructuring; d) Brief details of change in shareholding pattern (if any); e) Disclosure should include details like rationale for the scheme, the consideration involved, entities concerned in the transaction, (specifics on whether promoter / promoter group), clarity on whether it could be classified as a related party transaction, brief background of the business, financial impact, impact on shareholdings , additional approvals required before completion of transaction, effect of restructuring of debt or capital.
