Share allotment Committee of the Board of Directors of the Company in its meeting held on April 30, 2011 consider conversion of 27, 780 1% Fully Convertible Preference Shares (FCPS) of Rs. 10/-each issued at a premium of Rs.530/- per FCPS, into the equity shares of the Company in terms of Clause 5.3.1 of the Scheme of Arrangement and De-merger sanctioned by the Hon'ble High Court of Delhi vide its Order dated January 13, 2010. The Equity Shares were converted at the conversion Price of Rs.265.40 per shares as calculated in terms of the mechanism provided in the Scheme. Consequently, such conversion resulted into issuance of 56,521 equity shares of Rs.10/- each credited as fully paid-up, bearing distinctive nos. 41401783-41458303. Consequent to the aforesaid issue and allotment the paid-up equity capital of the Company has gone up from 1,14,01,782 equity shares of Rs.10/-each to 1,14,58,303/- equity shares of Rs.10/- each.
