An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Angel One Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Kotak Mahindra Mutual Fund, Navi Mutual Fund, Zerodha Mutual Fund
    • Angel One Mutual FundSEBI envisages an omnibus approval when a transaction cannot be supported with adequate details and such an approval cannot be valid for a period of more than one year. In the present case, the proposal lacks crucial details and is proposed for a period of 3 years. Hence, in order for the proposal to be compliant, additional disclosures are required. It is not clear whether ALL, AGPL and SCL, the related parties, will each develop and manage separate terminal projects or undertake different stages of development for the same terminal. Similarly, it is unclear as to on what basis it will be decided whether the acquired terminal assets will be housed at AVTL or any of its subsidiaries. Historical RPTs with ALL / AGPL / SCL reflects several operational, commercial and financing transactions. The proposal does not explain the nature of transactions to be covered with the respective parties and their respective consideration limits. Further, the basis of determining the pricing for the Related Party Transaction is not disclosed. Furthermore, the proposed transaction limits are substantial when compared to the financials of both the Company and certain related parties. There is no clarity on how the related parties propose to undertake and sustain transactions of the proposed magnitude and also, how the Company itself intends to finance or absorb acquisitions and transactions aggregating up to ₹ 15,000 crore during the approval period. Hence, there is lack of clarity on funding and execution of the proposed transactions. In an investor call, it is discussed that the capex at Aegis Logistics will be approx. $5 billion by FY 2030 which equates to approx. ₹48,000 crores and the proposed approval period too is valid until FY 2030. The Company should provide clarity regarding the consideration limit sought.
