Board of Directors of the Company at its meeting held on October 20, 2014 has approved, in-principle, raising of funds for an amount of not exceeding Rs. 200 crores through issue of equity shares of the Company to its eligible shareholders on a rights basis in accordance with the Companies Act, 2013, Securities and Exchange Board of India (Issue of Capital and disclosure Requirements) Regulations, 2009 and other applicable laws (the 'Rights Issue').

Company has fixed April 16, 2010 as the Record date for determination of Members of the Company who would become eligible for issuance of equity shares by Zee Entertainment Enterprises Ltd., pursuant to the Scheme of Arrangement, for Demerger of Regional General Entertainment Channel Business Undertaking of the Company and transfer / vesting of the said Business Undertaking in favor of Zee Entertainment Enterprises Ltd. ('ZEEL' or 'Transferee Company') with effect from January 01, 2010 (Appointed Date). The said Scheme was approved by Hon'ble Bombay High Court vide its Order dated March 19, 2010 and upon filing of the said order with Registrar of Companies, Maharashtra, Mumbai, the Scheme became effective from March 29, 2010. Further, company has submitted a copy of 'Rationale & Salient features of the Scheme'.
