Board of Directors at their meeting held on July 30, 2009, the Board considered and approved the proposal for demerger of Radio Broadcasting Business of Radio Today Broadcasting Limited (RTBL) and vesting thereof into T.V. Today Network Limited ("the Company") in terms of Scheme of Arrangement under Section 391-394 of the Companies Act, 1956, subject to the approval of the High Court and other Regulatory Authorities as may be required. The Board further approved the swap ratio of 1:6 i.e. for every 6 shares of RTBL, 1 share of the Company will be issued to the shareholders of RTBL. RTBL and the Company are group companies. This will result in marginal increase of approximately 1% in the Promoters holding in the Company.
