Under Triveni Employees Stock Option Scheme 2009 (ESOP 2009), 2,00,000 stock options (covering 2,00,000 equity shares of Re. 1/- each of the Company) were granted to certain eligible employees of the Company at an exercise price of Rs. 108.05 per share. Pursuant to a Scheme of Arrangement between the Company and Triveni Turbine Ltd. (TTL), duly sanctioned by the Hon'ble Allahabad High Court vide its Order dated April 19, 2011, the steam turbine business of the Company stood transferred to and vested in TTL. Consequently, the value of options held by the employees has been impacted as post demerger the market price of the Company's equity share has gone down. Keeping into consideration the following factors and in order to protect the rights of the option holders, the Compensation Committee has in its meeting held on March 26, 2013, approved the corporate adjustments to the 1,40,000 outstanding vested stock options in terms of ESOP 2009 read with Scheme of Arrangement and SEBI (ESOS & ESPS) Guidelines, 1999 : (1) Global best practices; (2) Just and reasonable adjustment to the number of options so as to ensure that the fair value of options before and after the corporate action should remain unchanged; (3) Valuation of outstanding options on the basis of option pricing model pre and post demerger (Black Scholes Option Pricing Model); (4) Vesting period and the expected life of the options should be left unaltered as far as possible. The existing outstanding options grantees for 1,40,000 stock options have been granted 17,360 additional options in aggregate and the exercise price has been revised from Rs. 108.50 to Rs. 14/- per option. Consequent upon aforesaid corporate adjustment, as on date total outstanding vested options are 1,57,360, representing 1,57,360 equity shares of Re. 1/- each of the Company.
