"Members of the Company, by way of Postal Ballot, have passed the Special Resolution, with requisite majority and accorded to the Board of Directors to buy-back from the Members of the Company, upto 43,26,475 Equity Shares of Rs.10/- each, being 25% of the total existing Paid-up Equity Share Capital comprising of 1,73,05,900 Equity Shares, at a price not exceeding Rs.75/- per Equity Share, through utilization of the Share Premium Account and/or other free reserves, such that the aggregate consideration paid for the shares to be bought back does not exceed Rs.1981.00 Lacs (being not exceeding 25% of the Paid-Up Share Capital plus Free Reserves), based on the audited accounts of the Company as at March 31, 2009; subject to necessary provisions & approvals".
