Hon'ble High Court of Gujarat, at Ahemdabad at its hearing held on 1st March, 2007 approved the Scheme of Arrangement between Sun Pharmaceutical Industries Limited (SPIL) and Sun Pharma Advanced Research Company Limited (SPARC) in the nature of demerger and transfer of Innovative Research and Development (Including New Drug Delivery Systems) Business/Unit of SPIL to SPARC with appointed date of 28th February, 2007. Further the Company informed the Exchange that vide letter dated March 30, 2007, the Company has fixed Monday, 30th April, 2007 as the Record Date for the purpose of reckoning the names of the equity shareholders of SPIL who shall be entitled to receive the equity shares of Re. 1/- each of SPARC in the ratio of 1:1. It also informed that the Company has decided to fix up the closed Period pursuant to the Sub Clause (iii) of Para 2 of Clause 6 A (i) of the Terms and Conditions of the Bonds as appearing in the Offering Circular dated 24th November, 2004 in respect of Zero Coupon Foreign Currency Convertible Bonds due 2009 from Thursday 19th April, 2007 to 30th April, 2007 (both days inclusive) and therefore the right to convert any such Bonds into the shares of the Company may not be exercised during the said closed Period.
