Solar Industries India Limited had informed the Exchange that a Meeting of the Board of Directors of the Company will be held on October 29, 2010 Inter-alia, (1) To consider and approve the Un-Audited Financial Results for the half year ended on September 30, 2010. (2) To consider the resignation of Dr Rishi Narain Singh, Non Executive Independent Director of the Company. (3) To consider the appointment Shri Anand Kumar as Non Executive Independent Director in casual vacancy if above mentioned resignation is accepted.The Company has now informed the Exchange that Board of Directors will also consider following: 1)To consider & recommend the Interim Dividend for the Financial Year 2010-2011.2) To fix the Record Date for the purpose of payment of Interim Dividend. Board of Directors of Solar Industries India Limited (the Company) at its Meeting held on September 17, 2009 has approved the proposal to seek the consent of the Member of the Company by way of Special / Ordinary Resolutions, through Postal Ballot pursuant to Section 192A of the Companies Act, 1956, read with Companies (Passing of the Resolutions by Postal Ballot) Rules, 2001, for the purpose of Alteration in Main objects clause, commencement of newly inserted business as set out in other objects clause of Memorandum of Association under section 17 of the Companies Act, 1956. Further the resolution have therefore approved and considered as passed by the share holders with the overwhelming requisite majority.
