    • Edelweiss Mutual Fund, The Wealth Company Mutual FundCompliant with the law. No concern identified on the merit of proposed auditors. Governance & Transparency Concern: The proposed audit fee is ~86% higher when compared to audit fees paid to outgoing auditors, hence there is a material change in audit fees and no justification has been provided for such material change in the proposed Audit fees.

    • Bandhan Mutual Fund, Edelweiss Mutual Fund, Motilal Oswal Mutual Fund, PGIM India Mutual Fund, The Wealth Company Mutual FundNo major governance concern is identified w.r.t the proposed amendments, itself. Schemes are in Non-compliance with SEBI (SBEB & SE) Regulations, 2021: Exercise price and Exercise Period inadequately disclosed. Governance Concern: Based on the existing disclosures, excessive benefit may be extended to an individual employee; Additionally, proposed scheme provides a broad range of Vesting period, which may lead to exercise of excessive discretion by the Board or the Compensation Committee.
    • HDFC Mutual FundESOPs are being granted at a significant discount to market price. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We do not support the resolution.
    • Kotak Mahindra Mutual FundThe Company proposes to amend ESOP 2016 to align the scheme with SEBI regulations applicable to listed companies, remove redundant pre-listing provisions, and enhance clarity and ease of administration. The scheme permits the grant of up to 67.1 million options, of which 38.0 million options remain available for issuance through the trust route. The exercise price will be determined by the Compensation Committee, subject to a minimum of the face value of the shares. But, the company has kept vesting period one to ten years, and it may be different for different employees. The vesting period for an individual, would be decided by NRC. We do not favour differentiation between employees. Hence, we do not favour the resolution.

    Against UTI Mutual Fund
    • UTI Mutual FundThe company seeks to amend the ESOP 2016 to align the scheme with SEBI regulations applicable to listed companies, remove provisions that are no longer relevant post listing (such as Pre-Listing and Liquidity Event related provisions), and provide clarity and operational ease in the administration and trust-based implementation of the ESOP 2016. Under ESOP 2016, 67,135,740 options can be granted, out of which 38,000,494 options are available for grant through the Trust route. As per the plan, the exercise price shall be determined by the Compensation Committee and will not be lower than the face value: Rs. 10.0 per share. Further, the vesting of options is time based such that the options granted shall vest so long as the employee continues to be in the employment. We do not favour ESOP schemes where the exercise price can be at a significant discount (greater than 20%) to market price. Further, in case of significant discount, we expect the vesting of the stock options to be based on clearly defined performance metrics along with a confirmation that the targets along with their achievement will be disclosed by the company in the subsequent annual reports. While the other amendments are operational in nature, given the lack of clarity on the exercise price and absence of any performance-based vesting criteria, we do not support the scheme. Hence, we do not support the resolution.
