Board has considered and approved following business as appeared on the Agenda of the Meeting dated January 31, 2008. (1) The Board has considered the proposal of Preferential Equity Issue and to allot 10% of the Present Paid up Equity Capital i.e. 1,32,82,800 shares of Re.1/=each at premium of Rs.9/= per share to M/s Shyam Equities Pvt. Ltd. subject to approval in the Extra Ordinary General Meeting of the Members of the Company to be held on February 28, 2008 and approval from the Stock Exchange/s and other competent authorities in the best interest of the Company.
