They proposes to acquire Upto 4290869 equity shares representing to 35.80% of the voting rights of Rallis India Limited from (1) Tata Tea Ltd., (2) Tata Sons Ltd., (3) Tata Investment Corporation Ltd. and (4) Ewart Investments Ltd.. The mode of proposed acquisition is by way of Inter-se-transfer. The date of proposed acquisition is On or after August 19, 2009 and the acquisition price per share will be determined in accordance with the applicable SEBI (Takeover) Regulations and the Rules of the Stock Exchanges if applicable, but in any event not exceeding Rs 850 per share. The shareholding of Tata Chemicals Limited after the proposed acquisition would be Upto 54,17,387 equity shares representing Upto 45.20% of the shares/voting rights of Rallis India Limited.
