Disclosure as required under Regulations 3(3) of the SEBI (Substantial Acquisition of Shares & Takeovers), Regulations, 1997, for the proposed acquisition of voting rights in the Company through a proposed gift to be made to Arti Jindal by her husband Mr.Prithavi Raj Jindal of the entire equity share capital of Wellworth Investments Limited, Mauritius, which holds 9,00,336 equity shares (8.11%) in the Company. Subsequent to such inter-se transfer, Arti Jindal shall be entitled to voting rights in respect of 9,00,586 (8.11%) equity shares of the Company.
